Capio Terms of Service

These Terms of Service ("Terms") govern your use of the Capio application ("Application") provided by Team Dada Inc. ("Company", "we", "us", "our"). By downloading, installing, or using the Application, you agree to be bound by these Terms.

1. Definitions

For the purposes of these Terms:

Application
The software product known as Capio, including all updates and related documentation.
Company
Team Dada Inc.
Device
Any computer or device capable of running the Application.
Service
The functionality provided by the Application.
User / You
The individual or entity installing or using the Application.
License
The limited right granted to the User to use the Application under these Terms.

2. License Grant

The Company grants You a non-exclusive, non-transferable, revocable license to install and use the Application on devices owned or controlled by You for personal or internal productivity purposes.

You may not:

  • reverse engineer the Application
  • redistribute or resell the software
  • remove copyright or license notices
  • use the Application for unlawful purposes

All rights not expressly granted remain the property of the Company.

3. Local-First Data Storage

Capio operates using a Local-First architecture.

All user data including work logs, notes, and records are stored locally on the user's device.

The Company does not operate a central server for storing user productivity data.

The Company does not have access to your work records unless you explicitly export or share them.

4. User Data Responsibility

Because Capio stores data locally on your device:

  • You are responsible for maintaining backups of your data.
  • The Company is not responsible for any data loss resulting from:
    • device failure
    • accidental deletion
    • application removal
    • operating system errors
    • hardware loss or damage

5. License Types

The Application may be distributed using different license models, including:

  • trial licenses
  • paid licenses
  • lifetime licenses

License terms may vary depending on the product purchased.

6. Lifetime License Clarification

If you purchase a lifetime license, the term "lifetime" refers to the usable lifetime of the Application as maintained by the Company.

A lifetime license grants the right to use the Application version available at the time of purchase.

The Company reserves the right to:

  • discontinue the Application
  • stop providing updates
  • modify features
  • terminate operation of the software

A lifetime license does not guarantee perpetual updates, maintenance, or continued development.

No compensation or refund will be provided if development of the Application ends.

7. Experimental Features

The Application may include Experimental Features, accessible through settings such as "Lab" or similar areas.

Experimental Features:

  • may be incomplete
  • may change without notice
  • may be removed at any time

They are provided solely for experimentation and enhancement purposes.

8. Third-Party Integrations

Capio may allow integration with third-party services such as:

  • messaging platforms
  • issue trackers
  • productivity tools

The Company:

  • does not control these services
  • is not responsible for their availability
  • is not liable for any issues caused by third-party platforms

Use of such services is governed by their respective terms.

9. Termination

The Company may suspend or terminate your license if you violate these Terms.

Upon termination:

  • your right to use the Application immediately ceases
  • you must stop using the software

10. Limitation of Liability

To the maximum extent permitted by applicable law:

The total liability of the Company for any claim arising out of or related to the Application shall not exceed the amount paid for the license or 100 USD, whichever is greater.

The Company shall not be liable for:

  • loss of productivity
  • missed deadlines
  • loss of business
  • loss of data
  • indirect or consequential damages

11. Disclaimer of Warranty

The Application is provided "AS IS" and "AS AVAILABLE" without warranty of any kind.

The Company makes no guarantee that the Application will:

  • meet your requirements
  • operate without interruption
  • be error-free
  • remain available indefinitely

12. Intellectual Property

All intellectual property rights in the Application, including:

  • software code
  • design
  • branding
  • documentation

remain the exclusive property of the Company.

13. Governing Law

These Terms shall be governed by the laws of the Republic of Korea, excluding conflict-of-law rules.

14. Changes to These Terms

The Company may update these Terms at any time.

If significant changes occur, reasonable notice will be provided.

Continued use of the Application constitutes acceptance of the updated Terms.

16. AI Features and Generated Content

Capio may include features powered by local artificial intelligence models ("AI Features").

These AI Features operate using machine learning models executed locally on the user's device.

Nature of AI Output

AI-generated content may be:

  • inaccurate
  • incomplete
  • misleading
  • inconsistent with user intent

The Company does not guarantee the accuracy, reliability, or usefulness of AI-generated output.

Users must independently review and verify all AI-generated content before relying on it.

Local Model Execution

AI processing may occur entirely on the user's device using locally installed or bundled language models.

Because these models operate locally:

  • output quality may vary depending on hardware and configuration
  • model behavior may differ across environments
  • results may change between versions

The Company does not guarantee consistent output from AI Features.

No Professional Advice

AI-generated output is provided for informational and productivity assistance purposes only and must not be interpreted as professional, legal, financial, or business advice.

User Responsibility

You are solely responsible for any actions taken based on AI-generated output produced by the Application.

The Company shall not be liable for any decisions, actions, or consequences resulting from reliance on AI-generated content.

Model Availability

The Company may modify, replace, or remove AI Features or supported models at any time without notice.

Local AI Processing Notice

AI processing occurs locally on the user's device and the Company does not collect or store AI prompts or generated outputs.
